DIR-3 KYC: Why Missing September 30 Deactivates Your DIN

What is DIR-3 KYC?
DIR-3 KYC is an annual identity and contact verification that every person holding a Director Identification Number (DIN) must complete with the Ministry of Corporate Affairs (MCA).
A DIN is a unique 8-digit number assigned to any person who is or wants to be a director of an Indian company. When you incorporated your company, your CA applied for a DIN for every director as part of the SPICe+ form. That DIN needs to be verified every year.
Why September 30?
The MCA mandates DIR-3 KYC filing under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. The deadline is September 30 every year — this is a fixed annual deadline, not relative to your incorporation date.
It doesn't matter when your company was incorporated. If you have a DIN, you file DIR-3 KYC by September 30. Even if you incorporated on September 29.
What happens if you miss it?
Your DIN gets deactivated. This has serious consequences:
- You cannot sign any company documents or resolutions
- Your CA cannot file any ROC filings on your behalf
- You cannot authorise bank transactions that require director sign-off
- Any pending ROC filings (AOC-4, MGT-7) will be blocked until your DIN is active
To reactivate, you must file DIR-3 KYC with a late fee of ₹5,000. There is no daily penalty — just the flat ₹5,000 reactivation fee. But the disruption to your company operations can cost far more.
How to complete DIR-3 KYC
It takes about 10 minutes. Here's exactly what to do:
- Go to the MCA portal: mca.gov.in
- Log in with your DIN and password (create an account if you don't have one)
- Go to MCA Services → DIN Services → DIR-3 KYC
- Enter your DIN number
- Verify your Aadhaar-linked mobile number via OTP
- Verify your email address via OTP
- Submit the form

Common mistakes founders make
Assuming your CA will do it automatically. Many CAs handle ROC filings but don't automatically file DIR-3 KYC for their clients. It's your responsibility to ensure it's done. Ask your CA explicitly, or do it yourself.
Thinking it only applies to active companies. Even if your company has no revenue, no employees, and has made no filings — if you hold a DIN, you must complete DIR-3 KYC every year.
Missing the OTP window. The MCA portal OTPs expire quickly. Have your Aadhaar-linked mobile and email accessible when you sit down to complete this.
